# Terms of service

## Answer

The terms today are seven short preview paragraphs dated 19 October 2026; this document settles what the final terms must add before the product opens to everyone, as a draft a lawyer must review.

## Today

| Section | What it says | Source |
|---|---|---|
| Label | Preview terms, 19 October 2026, served at `/terms` | [src: brew/legal-pages.js:6, 35, 53] |
| Status | Short terms for the design partner preview; full terms come before opening to everyone | [src: brew/legal-pages.js:36] |
| Use it on your own store | Run it on your own store or one you work on; the team claims the workspace; others see only what is public | [src: brew/legal-pages.js:38] |
| It is a preview | Free during the preview, as it is, can change or stop, things may break | [src: brew/legal-pages.js:40] |
| Check before you act | Plays, cards and drafts are suggestions; every number shows its source; check before you spend or publish | [src: brew/legal-pages.js:42] |
| Yours stays yours | Your content and data stay yours; what the service makes for you is yours to use | [src: brew/legal-pages.js:44] |
| Fair use | Do not use it to harm a site, a person or a brand; we may stop a read or remove access | [src: brew/legal-pages.js:46] |
| Questions | hello@joinsquareup.com | [src: brew/legal-pages.js:48] |

What the terms do not cover yet:

- No legal entity, governing law, liability limit, warranty wording or dispute process. [src: brew/legal-pages.js:35-48]
- No billing: the Pro plan sheet is a Dummy and pricing is parked until after the design partnership. [src: brew/DUMMY.md:17] [src: memory brew-pricing-parked]
- Paid finals exist: Sloosh is paid and finals spend credits from our workspace. [src: memory brew-jam-v2] [src: memory brew-sloosh-finals]
- The service never acts on a brand's accounts and never sends to its customers. [src: brew/SCOPE.md:36-38]
- Every writer is told never to invent codes, guarantees or health claims; the brand still ships the words. [src: brew/claims.js:88]
- Shopify's App Store needs its own terms of use link on the listing. [src: memory brew-shopify-app-review]
- The page uses the product name and the old word for Plays. [src: brew/legal-pages.js:42]

## Tomorrow

| Item | Version | Tag |
|---|---|---|
| Full terms below, reviewed by a lawyer, replacing the preview | v1 | Changes |
| A design partner agreement on top of the terms for the five partners | v1 | New, see contracts |
| Fees, wallet, credits, renewals and refunds | v2 | New, when pricing is unparked |
| Posting and scheduling with a person's yes: who is responsible for what goes out | v2 | New |
| Results and grades: estimates, never promises | v3 | New |
| Ads run inside rules the brand sets: limits, undo, who carries the spend | v4 | New |

### Proposed full terms, clause by clause

This is a draft for Param and a lawyer. It is not legal advice.

| Clause | Proposal |
|---|---|
| Who | Yellow Monk Technologies LLP, India, provides the service |
| Who may use it | A business, for its own store or a store it works on with permission |
| Accounts | Sign in with Google or Shopify; the brand's own work email claims the brand; admins invite the rest |
| What it does | Reads public data and connected accounts, read only, and suggests Plays, drafts and briefs |
| What it never does | Change a connected account, spend the brand's money or send to its customers, until a later version adds that with a person's yes per action |
| Check before you act | Suggestions and drafts can be wrong; the brand checks claims, prices and numbers before it publishes or spends |
| Claims | The brand is responsible for what it publishes; the service flags claims it cannot back, but a flag missing is not approval |
| Your content | Stays the brand's; we use it only to run the service for that brand |
| What we make | The brand may use what the service makes for it; we make no promise that a picture or text is free of others' rights |
| Rivals' material | Shown to the brand only as theirs, never to copy |
| Fair use | No harm to a site, a person or a brand; no reading a store you have no right to work on; no attempts to break access rules |
| Fees | Free during the preview; any paid make shows its price before it runs |
| Availability | As it is, no uptime promise during the preview |
| Liability | Limited to what the brand paid in the last 12 months, lawyer to set |
| Ending | Either side, any time; deletion within 7 days of a request |
| Law | India, courts of a city Param picks |
| Changes | Dated; admins are emailed before a change that affects them |

## How we do it

1. Change the terms only in `legal-pages.js`, on staging first, then promote.
2. Bump `UPDATED` to the day of the change.
3. A lawyer reviews the first full version and any change to fees, liability or what the service may do on a brand's accounts.
4. Each new version, v2 to v4, updates the "What it never does" clause in the same release that adds the power.

## Numbers

| Metric | Definition | Where measured | Status |
|---|---|---|---|
| Terms version | The `UPDATED` date on the page | `legal-pages.js` | 19 October 2026 |
| Accepted terms | Brands whose admin accepted the current terms | Not recorded today | Proposed |

## Open

1. **Do people accept the terms, or only see them?** Nothing records acceptance today. Proposal: one line under the sign in button, "By signing in you accept the terms", plus the date stored on the brand when its first admin claims it.
2. **Which city's courts?** Proposal: the city on the LLP's registration; Param confirms.
3. **Liability cap?** Proposal: fees paid in the last 12 months, and a fixed small amount during the free preview; the lawyer sets the number.
4. **Who reviews, and when?** Proposal: the same lawyer as the privacy policy, in the same review, before the first brand outside the five partners.
