# Contracts

## Answer

Contracts are the design partner agreement and, later, the order form; no signed or drafted agreement exists in any source, so what a partner gets, what we ask and how it ends wait on Param.

## Today

| What exists | Source |
|---|---|
| No design partner agreement or order form, signed or drafted | none |
| The legal entity is Yellow Monk Technologies LLP | [src: memory brew-real-connectors] [src: memory brew-meta-app-review] |
| Short preview terms at /terms, dated 19 October 2026: free during the preview, offered as it is, can change or stop | [src: brew/legal-pages.js:35-40] |
| The preview terms say a brand runs Brew on its own store, check before you act, and its content and data stay its own | [src: brew/legal-pages.js:37-44] |
| A preview privacy page at /privacy; full policy and terms come before Brew opens to everyone | [src: brew/legal-pages.js:18-19] [src: brew/legal-pages.js:36] |
| Deletion is a request by email; the team deletes within 7 days | [src: brew/DUMMY.md:22] |
| Arata agreed by word on 15 Oct that its team notes stay public on the demo; nothing written | [src: memory brew-audit-2026-10-15] |
| There is no billing; the plan sheet's trial is a Dummy | [src: brew/DUMMY.md:17] |
| Proposed partner terms: free through the partnership, a $120 or ₹10,000 wallet each, then $79 or ₹4,999 a month for life | [src: brew working tree docs/pricing.md:41] |

## Tomorrow

| Item | Version | Tag |
|---|---|---|
| A one page design partner agreement: what each side gives, data use, the demo, logos and quotes, how it ends | v1 | New, proposed |
| An order form: plan, wallet top up, currency, billing cycle, start date | v2 | New, proposed, after pricing is unparked |
| Full terms and privacy policy replacing the preview pages | v1 | Changes, before opening to everyone |

### Proposed partner agreement, for Param to edit

| Clause | Proposal |
|---|---|
| Term | Free from signature until a date Param sets |
| What the partner gets | The full product, a loaded wallet for paid makes, a direct line to Param |
| What we ask | One 15 minute call a week, honest feedback, at least one connected account |
| Data | Read only access; their data stays theirs; deletion on request within 7 days |
| Demo and naming | Never shown on the demo or named in public without a written yes per use |
| Quotes and results | Only with written approval, and only results they measured |
| After | The partner price proposed in pricing, or leave with nothing owed |
| Ending | Either side, any time, by email |

## How we do it

1. Before a partner's first call, send the one page agreement; they reply yes by email or sign.
2. Save the signed copy outside the product and note the date on the partner's page.
3. Any use of a partner's name, logo, data on the demo or a quote needs its own written yes; record it on the partner's page.

## Numbers

| Metric | Definition | Where measured | Status |
|---|---|---|---|
| Agreements signed | Partners with a signed or emailed yes | Each partner page | Proposed, 0 on record |
| Days from first call to signature | Per partner | Each partner page | Proposed |

## Open

1. **Do we need a written agreement before the partnership goes further?** Proposal: yes, the one page above, sent to all five this week.
2. **Which entity signs?** Proposal: Yellow Monk Technologies LLP, the entity already on the Meta business and the site footer.
3. **What happens after the partnership?** Proposal: accept the proposed partner price from pricing, or leave with nothing owed.
4. **Who reviews the terms?** Proposal: a lawyer reads the agreement and the full terms once, before they replace the preview pages.
5. **Does the agreement cover paid makes from the wallet?** Proposal: the wallet is a gift, unused money is not refunded, and it never expires during the partnership.
